PLEASE READ THESE TERMS OF SERVICE (“Terms”) CAREFULLY. BY ACCESSING OR USING THE SERVICES PROVIDED BY 20XMEDIA LLC (“Company”, “we”, “us”, or “our”), YOU (“Customer” or “User”) AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE OUR SERVICES.

1. DEFINITIONS

“Services” refers to all digital, marketing, AI, communications, and consulting services provided by 20xMedia, including but not limited to website design, SEO, social media management, content production, digital advertising, AI agent setup (including AI Voice Agents), A2P messaging campaigns, and related integrations.
“Platform” means the Company’s website (https://20xmedia.com), communication tools, hosted solutions, and any proprietary or third-party platforms used to deliver services.
“A2P” refers to Application-to-Person messaging, including SMS, voice, or AI-based outreach, compliant with carrier and federal regulations.
“Client Content” means any data, media, scripts, or intellectual property submitted by the Client for use in connection with the Services.

2. ELIGIBILITY & SCOPE

You must be at least 18 years of age and have legal authority to bind the entity you represent to enter into a contract with 20xMedia.
These Terms govern all current and future projects or service agreements, whether initiated online, in writing, or through verbal confirmation.

3. SERVICES PROVIDED

20xMedia offers customized business and marketing solutions, including:
– Custom Website Design, Development & Hosting
– SEO & Paid Search (PPC/SEM) Marketing
– Social Media Management & Advertising
– Content Strategy, Copywriting, Photography, and Videography
– Email, SMS & Voice Messaging Campaigns
– AI Agent Setup (including AI Voice Agents for inbound and outbound calling)
– CRM Integrations, Automation, and Reporting Dashboards
– Consultation and Execution of A2P Messaging Workflows
We reserve the right to modify, enhance, or discontinue any Service at our discretion.

4. ACCOUNT REGISTRATION & COMMUNICATION

You agree to provide accurate and complete contact information. Misrepresentation may result in service suspension.
By using our services, you expressly consent to receive communications via SMS, email, AI-generated voice calls, and other messaging technologies through our registered A2P number: +1 (682) 345-8036.
You may opt out of messaging by replying ‘STOP.’ Standard carrier charges may apply.

5. CLIENT RESPONSIBILITIES

You are solely responsible for:
– Ensuring that Client Content does not infringe third-party rights
– Obtaining legal consent to use recipient data for A2P or AI communications
– Compliance with applicable local, state, and federal laws (including TCPA, CAN-SPAM, GDPR, etc.)
You agree not to use AI Agents or A2P services for unlawful activities, including but not limited to spam, harassment, fraud, misrepresentation, or any content in violation of carrier or regulatory policies.

6. FEES AND PAYMENTS

Fees are outlined in your quote, invoice, or subscription agreement. Payments must be made per the schedule indicated.
Overdue payments will incur interest at 1.5% per month or the maximum legal rate.
Subscriptions to AI agent hosting, messaging credits, or monthly retainers are automatically renewed unless canceled per Section 9.

7. INTELLECTUAL PROPERTY

20xMedia retains all rights to content, code, materials, and proprietary tools created prior to or during project execution, unless otherwise agreed in writing.
Upon final payment, ownership of custom deliverables transfers to the client, excluding any third-party tools or assets used under license.
You grant 20xMedia the right to showcase completed projects in our portfolio and marketing materials.

8. CONFIDENTIALITY AND DATA SECURITY

We agree to treat all non-public client data as confidential.
Client is responsible for ensuring all end-user data (collected via AI agents, SMS, or voice) complies with applicable privacy laws. 20xMedia does not accept liability for your failure to obtain appropriate consent.
Our systems implement commercially reasonable safeguards, but we do not guarantee immunity from security breaches.

9. TERMINATION

Either party may terminate services with 15 days’ written notice for any reason.
In the event of termination, the Client shall pay for all completed work and authorized expenses incurred.
We reserve the right to suspend access immediately if Terms are violated or payment is overdue by more than 30 days.

10. WARRANTIES & DISCLAIMERS

Services are provided ‘AS IS.’ We make no guarantees as to specific performance results, campaign outcomes, or return on investment.
We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. LIMITATION OF LIABILITY

In no event shall 20xMedia be liable for indirect, incidental, consequential, or punitive damages.
Our total liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid to us in the twelve (12) months preceding the claim.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless 20xMedia, its officers, employees, and agents from and against any third-party claims, liabilities, damages, or expenses arising from your:
– Use of the Services
– Violation of these Terms
– Breach of legal or regulatory obligations, including misuse of A2P messaging or AI voice services

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of laws.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dallas County, Texas.

14. MODIFICATIONS TO TERMS

We may modify these Terms at any time. Updated terms will be posted on our website and take effect immediately. Continued use of our services constitutes acceptance of the updated Terms.
